Terms of Service

Alyaya may provide mobile applications, websites, AI assistants, media generation features, editing tools, writing tools, task workflows, subscriptions, credits, APIs, documentation, support, and related digital products.

Some products, paid features, promotions, app marketplace listings, beta features, or enterprise arrangements may include additional terms. If supplemental terms conflict with these Terms, the supplemental terms control for that specific feature or transaction.

• You must be able to enter a binding agreement and use the Services only as permitted by law
• You must provide accurate account, contact, and billing information
• You are responsible for keeping credentials, devices, app sessions, and any API keys secure
• You are responsible for activity under your account unless caused by our failure to use reasonable security measures

We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for their intended purpose and in accordance with these Terms.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or exploit the Services except as allowed by these Terms or applicable law.

If you install a mobile app, the license applies only to devices you own or control and remains subject to app marketplace rules.

User Content includes prompts, uploads, files, images, video, audio, text, feedback, messages, and other material submitted, generated, transmitted, or stored through the Services.

• You retain ownership of your User Content, subject to the permissions needed for us to provide the Services
• You represent that you have the rights and permissions needed to submit and use User Content
• You are responsible for reviewing AI outputs before relying on them or publishing them
• We may remove, limit, or refuse content that appears unlawful, harmful, abusive, infringing, unsafe, or inconsistent with these Terms

When you submit User Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, transmit, display, adapt, and use that content solely as reasonably necessary to provide, secure, support, improve, and operate the Services, fulfill your requests, enforce these Terms, and comply with law.

This license does not allow us to use your personal information or uploaded content to train general-purpose AI or foundation models without separate, explicit consent.

Feedback or suggestions may be used without obligation to you, provided we do not disclose confidential information in doing so.

• Do not use the Services for unlawful, deceptive, infringing, harassing, threatening, exploitative, discriminatory, or harmful activity
• Do not submit content you do not have the right to use
• Do not upload malware, spyware, harmful code, or material designed to disrupt systems or exfiltrate data
• Do not bypass rate limits, authentication, access controls, security measures, or usage restrictions
• Do not scrape, harvest, or systematically extract data without written permission
• Do not reverse engineer, decompile, or attempt to derive source code, model weights, or non-public APIs except where law permits
• Do not overload infrastructure, interfere with availability, or disrupt another user's access

Some Services may require payment, subscriptions, in-app purchases, prepaid credits, usage-based fees, or other paid features. You agree to pay all applicable amounts, taxes, and charges.

Prices, packages, limits, renewal terms, feature availability, and product descriptions may change over time unless restricted by law or separate written terms.

If payment is handled by Google Play, Apple App Store, another app marketplace, or a third-party processor, that provider's billing, renewal, cancellation, refund, and dispute rules may also apply.

Our Refund Policy explains how refunds are handled, including platform-approved Google Play and Apple App Store refunds.

The Services may link to, rely on, or integrate with third-party websites, app stores, AI models, APIs, cloud platforms, analytics tools, payment processors, and communication services.

We do not control third-party services and are not responsible for their content, availability, security, policies, or practices. Your use of third-party services may be governed by separate terms.

Our Privacy Policy explains how we collect, use, share, and protect personal information and is incorporated into these Terms.

We do not use your personal information or uploaded content to train general-purpose AI models without separate, explicit consent.

AI outputs may be inaccurate, incomplete, unexpected, or similar to third-party content. You remain responsible for evaluating outputs and complying with applicable laws and third-party rights.

You may stop using the Services at any time. Where an account is available, Alyaya apps provide a self-service account deletion option in the account, profile, or settings area.

We may retain limited information where necessary for billing, tax, accounting, app marketplace records, security, fraud prevention, dispute resolution, backups, legal compliance, or enforcement.

We may update, modify, suspend, discontinue, or limit any part of the Services at any time, with or without notice, unless notice is required by law or separate agreement.

We may suspend, restrict, or terminate access if we reasonably believe you breached these Terms, created legal or security risk, failed to pay fees, abused the Services, infringed rights, or if law or platform rules require action.

After termination, your right to use the Services ends immediately, but provisions that by their nature should survive will continue to apply.

To the fullest extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise.

We disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, security, availability, and uninterrupted operation.

Nothing in these Terms limits rights that cannot be waived under applicable law.

To the fullest extent permitted by law, Alyaya, Mondragon Portable Toilet L.L.C., affiliates, contractors, licensors, service providers, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages arising from or related to the Services.

To the fullest extent permitted by law, our aggregate liability for claims related to the Services will not exceed the greater of the amount you paid us for the relevant Service in the six months before the event giving rise to the claim or USD 100.

You agree to defend, indemnify, and hold harmless Alyaya, Mondragon Portable Toilet L.L.C., affiliates, contractors, licensors, service providers, and representatives from claims, losses, liabilities, damages, judgments, penalties, costs, and expenses, including reasonable legal fees, arising from your User Content, use of the Services, breach of these Terms, or violation of law or third-party rights.

These Terms are governed by the laws applicable in the United States and the company's operating jurisdiction, without regard to conflict-of-law rules, unless mandatory law in your jurisdiction provides otherwise.

Before bringing a formal claim, you agree to contact us and attempt to resolve the issue informally. If a dispute cannot be resolved informally, it will be handled by courts or forums with proper jurisdiction under applicable law.

You may not use, export, re-export, transfer, or access the Services in violation of applicable export-control, sanctions, anti-terrorism, or trade-compliance laws.

You represent that you are not located in, under the control of, or a resident of a restricted jurisdiction and are not listed on any applicable sanctions or prohibited-party list.

These Terms, together with the Privacy Policy, including its account deletion instructions, the Refund Policy, and applicable supplemental terms, form the entire agreement between you and us regarding the Services.

If any provision is found invalid, unlawful, or unenforceable, the remaining provisions remain in full force and effect.

Our failure to enforce a provision is not a waiver of our right to enforce it later.

You may not assign or transfer your rights or obligations without our prior written permission. We may assign our rights and obligations in connection with a merger, acquisition, restructuring, financing, or transfer of assets.
